These Terms of Service ("Terms") govern your access to and use of the GradingMetric website at https://www.gradingmetric.com and the GradingMetric AI card grading analysis service (collectively, the "Service"), operated by GradingMetric ("we," "us," or "our").
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
GradingMetric provides an AI-powered trading card grading analysis service. Users can upload images of trading cards to receive AI grade predictions, grade probability matrices, Capital Score ROI metrics, defect detection reports, grader fit scores, and submit/hold recommendations across major grading companies including PSA, BGS, CGC, and SGC.
The Service is available through free and paid subscription plans, each offering different levels of access and analysis capacity as described on our pricing page.
3. User Accounts
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
You must be at least 13 years of age to create an account and use the Service. If you are under 18, you must have the consent of a parent or legal guardian.
4. Subscriptions and Billing
Paid plans are billed on a monthly basis. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel. Your analysis quota resets at the beginning of each billing cycle. Unused analyses do not roll over to the next billing period.
You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Upgrades take effect immediately. Downgrades and cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any purpose that is illegal or prohibited by these Terms
- Upload images that contain illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content
- Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service
- Use automated systems, bots, or scripts to access the Service in a manner that exceeds reasonable usage
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or algorithms of the Service
- Resell, redistribute, or sublicense access to the Service without our express written permission
- Use the Service to engage in fraud, including misrepresenting card conditions to potential buyers
6. Intellectual Property
The Service, including its design, features, content, and underlying technology (including our AI models, Capital Score algorithm, and analysis methodologies), is owned by GradingMetric and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of the card images you upload. By uploading images to the Service, you grant us a limited, non-exclusive license to process and analyze those images solely for the purpose of providing the Service to you.
The analysis results generated by the Service (grade predictions, Capital Scores, reports, etc.) are provided to you for your personal or business use. You may export and use these results freely, but the underlying AI models and methodologies remain our property.
7. Disclaimer
AI predictions and analysis results provided by GradingMetric are informational only and are not guarantees of actual grades. Grading is ultimately determined by the grading company and their human graders. While our AI is calibrated on extensive data and maintains high accuracy, actual grades may differ from our predictions due to factors including but not limited to:
- Variations in image quality that may not fully capture card condition
- Subjective elements of the grading process that vary between individual graders
- Changes in grading company standards or practices
- Physical defects not visible in photographs
You acknowledge that grading decisions made based on our analysis are at your own risk. GradingMetric is not responsible for any financial losses resulting from grading submissions.
8. Limitation of Liability
To the maximum extent permitted by applicable law, GradingMetric and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Indemnification
You agree to indemnify, defend, and hold harmless GradingMetric and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the change becoming effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
We encourage you to review these Terms periodically to stay informed about our requirements.
11. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by contacting us or through your account settings. Upon termination, we will delete your account data in accordance with our Privacy Policy.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction.
